First-reading agent for incoming contracts

Today

A supplier’s terms and conditions or a large customer’s contract arrive with a signing date close at hand, and nobody has time to read them in full.

With AI

As soon as a contract is saved to the designated folder or received at the dedicated address, the agent compares it with your list of points of attention (liability, term and termination, jurisdiction and governing law, penalties, intellectual property) and with your in-house template. It quotes the relevant clauses verbatim, flags those that depart from your rules, saves its note to the file and creates the review task with the planned signing date. Management or the in-house lawyer reads the flagged passages, decides what to negotiate and calls in a lawyer where needed.

What to measureThe time between receipt and reply to the other party, and the clauses found by human review that the agent had not flagged.

Agent that keeps the processing record up to date

Today

The record of processing activities was filled in once when the nFADP came into force, then forgotten, and the website’s privacy notice no longer matches the tools in use.

With AI

Whenever new software is ordered or a data processing agreement is signed, the agent reads the supplier’s documentation and the contract, notes the data processed, the hosting location and the sub-processors, and prepares the matching entry in the record, awaiting approval. It also flags the passages of the website’s privacy notice that no longer match. The person responsible for data protection checks every entry before adding it and consults a specialist in case of doubt.

What to measureThe date the record was last updated and the number of tools in use that are missing from it.

AI usage rules and tool inventory

Today

Everyone uses a different AI tool, sometimes with a personal account, and nobody knows which customer or staff data has been pasted into it.

With AI

We list with your teams the tools actually in use, then the assistant helps draft a short policy: authorised tools, rights granted to agents, prohibited categories of data, mandatory review, informing clients, a named contact for questions. Management adopts the policy; we present it to the teams and keep it up to date with you when tools change.

What to measureThe share of staff using an authorised tool with a business account, and the questions received by the policy owner.

68

Agent that tracks lease and long-term contract deadlines

Today

In a property management firm or a company renting its premises, notice periods, indexation clauses and renewal options sit in hundreds of PDFs, and a missed deadline commits you for years.

With AI

For every contract saved to your shared folder, the agent extracts notice periods, indexation clauses and renewal options with the source page, and proposes the entry in the deadline register. Once the extraction is confirmed, it creates the reminders in Outlook and, as a deadline approaches, prepares the decision file with a draft letter. The property manager or the person in charge decides on any termination or renegotiation and signs.

What to measureThe number of contracts covered by the register, the extractions corrected at confirmation and the deadlines handled in time.

69

Searching the firm’s own precedents and templates

Today

A firm has already drafted hundreds of briefs, agreements and opinions, but finding them depends on the memory of the partner who handled them.

With AI

A custom research assistant, installed on the infrastructure chosen with your IT provider, answers questions asked in plain language by returning the relevant passages of your documents with the source file, respecting access rights per matter. The lawyer reads the original, checks that the case law is current in Swisslex or Weblaw and alone decides whether to reuse a text.

What to measureThe time spent finding a reference document and the share of results the lawyers judge relevant.

70

Agent that tracks notices and variations on site

Today

On a building project, notice periods, reservations and change orders are discussed by e-mail and in site meeting minutes, and the main contract with its appendices is only reread when a disagreement arises.

With AI

For every set of minutes or e-mail filed in the project folder, the agent spots the events that start a deadline under the contract, its appendices and the terms incorporated into it (for example the SIA 118 standard where agreed). It creates the task with the due date for the project manager and prepares in Outlook a draft notice or variation that refers to the documents. The project manager checks facts and dates; management signs, with a lawyer’s support when the stakes call for it.

What to measureThe number of notices sent within the contractual deadline and the preparation time per variation.

71

Agent that assembles dispute and claim files

Today

When goods arrive damaged or a customer disputes a repair, the facts are scattered across e-mails, delivery notes, photos and invoices, and the insurer or lawyer asks for a clear account.

With AI

When a claim or a dispute is reported, the agent searches the mailbox and the shared folder for the related e-mails, delivery notes, photos and invoices, builds a chronology in which each event points to its document and drafts the claim notification or a note for the lawyer or legal expenses insurer. It also creates a reminder for the notification deadline. The person in charge checks every fact and date before sending; assessing liability is not part of what the agent produces.

What to measureThe time between the event and a complete notification, and the requests for additional information from the insurer or lawyer.

72

Agent that handles data subject access requests

Today

A patient or customer asks what data the company holds about them; you have to search several systems, the mailbox and the archives, then reply within the time limit set by the nFADP.

With AI

When an access request arrives, the agent enters it in the register with its deadline and asks the person in charge to confirm the requester’s identity. It then searches for the data in the patient record or point-of-sale software, the CRM and the mailbox, groups it by category and source, flags anything concerning third parties and prepares a draft reply. The person responsible for data protection checks completeness, removes anything that must not be disclosed and signs the reply.

What to measureResponse time per request and the data sources that the human check had to add.

In short

In an SME, legal matters are often handled by management, an assistant or an external lawyer. An AI agent takes on what follows a trigger: a contract filed, an nFADP access request, a reported claim, site meeting minutes. It reads the documents, searches SharePoint, the mailbox and your software, then prepares the result: clauses picked out with their source, a register update awaiting approval, a draft reply, a deadline reminder. It does not assess a clause or give legal advice: every conclusion is checked by a qualified person, and legal research is done in Swisslex, Weblaw or Fedlex.

Points to watch

The nFADP applies to any personal data that passes through an AI tool, and confidentiality clauses or professional secrecy (art. 321 Swiss Criminal Code, art. 13 of the Lawyers Act for lawyers) often cover contracts and files. If you operate in the European Union, the EU rules on AI may also concern you. Assessing a clause or a risk remains the job of your in-house lawyer or attorney. The tools we select make it possible to stay within these frameworks if data is not used for training, hosting and sub-processing are documented and access is limited to the files needed.

Can an AI agent replace our lawyer?

No. The agent prepares the work: it reads the contract filed, picks out the clauses that depart from your rules, gathers the documents for a file, keeps registers and deadlines up to date, and leaves every result awaiting approval. Legal assessment, advice and negotiation remain with a qualified person. A model can also make up a reference: every statutory provision or judgment cited is checked in Fedlex, Swisslex or Weblaw before it is used.

Do we need an internal policy on the use of AI?

As soon as several people use AI tools, a written rule stops everyone from deciding alone. It sets out which tools and agents are allowed, which data stays out of them, who reviews what and how to inform clients where needed. We draw it up with you from your actual uses; it does not replace the opinion of your legal adviser, who can review it before you adopt it.

Can we give our contracts to an AI tool without breaching confidentiality?

It depends on the tool and on your commitments. At a minimum you need a business plan that excludes training on your data, a data processing agreement, a known hosting location and limited access. Some confidentiality clauses with your partners require more. For an agent, we also limit its rights to the files it needs to read and log each of its accesses. We start with the list of documents that may go into the tool and those that stay out, before any test on a real contract.
